my bad, i had it wrong. here is what espn reported:

"Jackson agreed to a two-tiered deal with the Rams. It's either a three-year extension worth $29.3 million with $21 million guaranteed, or a five-year, $49.3 million contract that includes huge escalators in Years 4 and 5, a source told ESPN.com's John Clayton.
The way the contract works is that it is structurally a five-year deal lasting until 2013. The final two years can be voided based on Jackson's performance, but his performance can also trigger the escalators to take the five-year deal to $49.3 million.
Though a breakdown of the triggers of the deal isn't fully known, a source told ESPN.com that Jackson has to perform similarly the next three seasons to the numbers he put up from 2005 through 2007 to fulfill the escalators."

He's guaranteed 21 mil over 3 years. With the other 8.3 million dollars based on his performance through bonuses. If he does well he is able to get an additional 20 mil over the remaining two years in his 5 year deal. If he performs poorly the Rams reserve the right to make him a free agent after 3 years and do not have to pay him any more the 21 million throughout the contract unless he meets bonus and extension requirements. It's a solid contract and a smooth move by the Rams to keep the big money incentive based.

Dude...its so messed up. I was reading about unusual deaths on wikipedia and I came across this guy name Budd Dwyer, Pennsylvania Treasurer, who was accused of taking bribes and was found guilty. So the guy sets up a press conference the day before he's due to be sentenced for 55 years and $300,00 in fines, and shoots himself. So I go to youtube and found the damn video. Holy shit.
