Roma is in a situation where CL football is not guaranteed. They are also in a situation where their starting GK, RB, CB, and 2 of their 3 attackers (Salah and SES) are on loan.

All this requires funds. They can get them by selling Pjanic or Nainggolan. But Pjanic has a clause and if they sell the Belgian they risk losing Pjanic too if he accepts some team's offer.
They can't afford losing both and that's why I'm sure they already accepted the faith that Pjanic is gone.

Now the only question remaining is where he will go, and this means that now it's only up to Pjanic and Roma have no say in this. They won't even offer him an improved contract.

There's also a side that could mean they want to lock down Pjanic and offer him the new contract and sell Naingollan to Conte for more than 38m, but I think from the two, zPjanic will have a wider market and his clause makes him more saleable immediately.
